Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and Appostrofy Technologies OPC Private Limited ("Company", "we", "us", or "our"), owner and operator of the OperExcel product brand (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Eligibility and Authority

You represent and warrant that you have legal capacity to enter into these Terms. If you use the Service on behalf of an entity, you represent that you are duly authorized to bind that entity.

3. Account Registration and Security

Access to certain features requires account registration. You agree to provide complete and accurate information and to keep such information current. You are solely responsible for all activity under your account and for maintaining confidentiality of your credentials.

4. Service Scope and Modifications

The Service may include free and paid plans, feature limits, and usage restrictions, each of which may be modified from time to time at our discretion in accordance with applicable law. We may add, remove, or update features without creating an obligation to maintain any specific functionality.

5. License and Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful internal business or personal use. You shall not sublicense, sell, lease, assign, or otherwise commercially exploit the Service except as expressly permitted in writing.

6. Prohibited Conduct

You agree not to:

• Use the Service in violation of applicable laws, regulations, or third-party rights.
• Upload, transmit, or generate unlawful, defamatory, fraudulent, infringing, or harmful content.
• Interfere with the integrity, availability, or performance of the Service.
• Attempt unauthorized access to accounts, data, or systems.
• Reverse engineer, decompile, disassemble, or attempt to derive source code except where prohibited by law.

7. User Content and Responsibility

You retain rights in content you submit to the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and display User Content solely for operating, maintaining, and improving the Service and complying with law. You are solely responsible for legality, accuracy, and appropriateness of User Content.

8. AI-Assisted Output

The Service may provide AI-assisted outputs. Such outputs may be incomplete or inaccurate and are provided for informational and drafting purposes only. You must independently review and validate all outputs before reliance or implementation.

9. Intellectual Property

Except for User Content, all rights, title, and interest in and to the Service, including software, text, graphics, logos, and trademarks, are and remain the exclusive property of the Company or its licensors.

10. Fees, Taxes, and Payment

Where paid features are offered, you agree to pay all applicable fees and taxes in accordance with the pricing and billing terms in effect at the time of charge. Unless otherwise required by law, fees are non-refundable.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO THE COMPANY FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnity

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and affiliates from and against claims, liabilities, losses, damages, costs, and expenses (including legal fees) arising out of or related to your use of the Service, User Content, or breach of these Terms.

14. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, where we reasonably determine a breach of these Terms, legal requirement, or risk to the Service, users, or third parties. You may discontinue use at any time.

15. Changes to Terms

We may revise these Terms from time to time. Revised Terms become effective upon publication unless otherwise stated. Continued use of the Service after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to applicable law, the courts at Pune, Maharashtra, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with these Terms or the Service.

17. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision shall not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
